Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the publora.co.uk website and the Publora platform, API, and automation services (the "Service") operated by SOFTANA LTD ("Company", "we", "our", or "us").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access the Service. You represent that you are at least 18 years of age and possess the legal authority to enter into this agreement on behalf of yourself or the entity you represent.

2. Description of Service

Publora provides a social media management, post-scheduling, REST API, and AI agent integration platform that allows users to manage, automate, and publish content across multiple third-party social media networks.

3. Account Responsibilities & Security

• You must provide accurate, current, and complete information during registration and keep your account details updated.
• You are responsible for safeguarding the passwords, security tokens, and API keys used to access the Service.
• Any activity originating from your account or credentials is your sole responsibility. You must notify us immediately at support@publora.co.uk upon becoming aware of any unauthorized account access.

4. Acceptable Use Policy

You agree not to misuse the Service or assist any other party to:

• Violate any local, national, or international law, or breach the terms of service of any connected third-party social media platform.
• Upload, schedule, or transmit any content that is unlawful, defamatory, harassing, fraudulent, or infringes upon third-party intellectual property rights.
• Utilize the API or integration tools to distribute spam, unsolicited bulk messages, or malicious code.
• Reverse engineer, decompile, or attempt to extract source code from the Service, or bypass security rate limits.

5. Third-Party Platforms

Our Service interacts with third-party application programming interfaces (APIs) provided by external social networks (e.g., LinkedIn, X, Instagram, Facebook, TikTok, YouTube, Bluesky, Mastodon, Threads, Telegram). Publora is not affiliated with, endorsed by, or sponsored by these platforms. We do not guarantee continuous or uninterrupted compatibility with third-party APIs. If a third-party platform modifies its terms or deprecates its API, SOFTANA LTD bears no liability for resulting feature alterations or service disruptions.

6. Subscriptions, Fees, and Billing

• Access to paid features requires payment of subscription fees. Fees are billed automatically in advance on a recurring monthly or annual basis.
• All payments are processed securely through certified third-party payment gateways (e.g., Stripe).
• You may cancel your subscription at any time via your account billing dashboard. Downgrades or cancellations will take effect at the end of the current billing cycle.

7. Intellectual Property Rights

The Service, its original content, underlying software, API designs, and brand elements remain the exclusive property of SOFTANA LTD and its licensors. You retain full ownership of the content and media you upload, but grant us a worldwide, non-exclusive license to host, process, and transmit such content solely for the purpose of delivering the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SOFTANA LTD, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or business interruption, resulting from (i) your access to or use of (or inability to access or use) the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content. In no event shall SOFTANA LTD's aggregate liability exceed the total fees paid by you to us in the preceding twelve (12) months.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will function uninterrupted, secure, or defect-free at all times.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Scotland, United Kingdom, without regard to conflict of law principles. Any legal disputes or claims arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Scotland.
